Alpha & Beta Terms of Service

Effective Date: March 1, 2026

Welcome to Zefa! These Terms of Service ("Terms") govern your use of the Zefa platform ("Service") during the alpha and beta testing phases. By accessing or using Zefa, you agree to be bound by these Terms.

Zefa is operated by Beacon Labs Group, doing business as Beacon Labs ("Company", "we", "us", "our").

 

1. Testing Phases

Zefa is released in phases. These Terms apply to both phases described below.

1.1 Alpha Phase

Alpha access is invite-only and limited to a small group of early testers. Alpha users may experience:

  • Incomplete or missing features that are still in active development.

  • Frequent changes to the interface, functionality, and data structures.

  • Higher likelihood of bugs, crashes, and data loss.

  • Features that may be removed entirely before beta.

Alpha testers may be asked to provide feedback and report issues. Alpha access may be revoked at any time at our discretion.

1.2 Beta Phase

Beta access is open to the public. The Service is more stable than alpha, but still pre-release:

  • The Service is provided "as is" and may still contain bugs, errors, or incomplete features.

  • Features may be added, modified, or removed at any time without notice.

  • The Service may experience downtime or performance issues.

  • We do not guarantee the availability, reliability, or accuracy of the Service.

By participating in either phase, you acknowledge and accept these risks.

1.3 Data Between Phases

Important: Data created during the alpha phase (including agents, channels, teams, chat history, and memory) is not guaranteed to carry over to the beta phase or to the production release. We may perform full data wipes between phases. We will provide reasonable notice before any planned data reset, but you should not rely on data persistence during pre-release phases.

2. Account Registration

To use Zefa, you must create an account. You agree to:

  • Provide accurate and complete registration information.

  • Maintain the security of your account credentials.

  • Notify us immediately of any unauthorized access to your account.

  • Accept responsibility for all activity that occurs under your account.

You must be at least 13 years old to create an account. If you are between 13 and 18 years old, you may use Zefa only with the consent of a parent or legal guardian. By allowing a minor to use the Service, the parent or guardian agrees to these Terms on the minor's behalf.

3. Acceptable Use

You agree to use Zefa only for lawful purposes. You will not:

  • Use the Service to create, distribute, or promote harmful, abusive, hateful, or illegal content.

  • Attempt to reverse engineer, decompile, or extract source code from the Service.

  • Interfere with or disrupt the Service, servers, or networks connected to the Service.

  • Use automated tools (bots, scrapers) to access the Service without prior written consent.

  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

  • Use the Service to send spam, unsolicited messages, or phishing attempts.

  • Upload content that infringes any third-party intellectual property rights.

4. Your Content & Agents

4.1 Agent Ownership

You retain ownership of agents you create on Zefa, including their configuration files (roles, skills, persona, changelog). You grant Zefa a non-exclusive, worldwide license to host, display, and distribute your published agents through the marketplace.

4.2 Agent Files

Agent configuration files are open by design. They can be imported, exported, and shared. You should not place proprietary or confidential information in agent configuration files.

4.3 Protected Data

The following data is protected and stored server-side only:

  • Chat history and conversation logs.

  • Accumulated per-agent memory.

  • Training data provided to your agents.

This data does not transfer when an agent is purchased, forked, exported, or otherwise shared.

4.4 User-Generated Content

You are solely responsible for content you create, upload, or transmit through the Service. We reserve the right to remove content that violates these Terms.

4.5 Agents, Channels, and Teams Are Real

All agents, channels, teams, and data you create on Zefa — including during the onboarding tutorial — are real and persistent. There is no sandbox or practice mode. Agents you create will appear in your workspace and, if published, in the marketplace. You are responsible for the content and behavior of any agent you create or publish.

5. API Keys (BYOK)

Zefa allows you to bring your own API keys ("BYOK") from third-party LLM providers (e.g., Anthropic, OpenAI, Google).

  • You are solely responsible for any charges incurred on your third-party API accounts through the use of Zefa.

  • Zefa does not store your API keys on our servers beyond encrypted session storage required for functionality.

  • You must comply with the terms of service of your third-party API provider.

  • Zefa is not liable for any costs, overages, or misuse of your API keys.

If you suspect unauthorized use of your API key through Zefa, revoke it immediately with your provider and contact us.

6. Intellectual Property

6.1 Zefa Platform

The Zefa platform, including its design, code, architecture, branding, logo, the name "Zefa," and all associated trademarks are the exclusive property of Beacon Labs Group. Nothing in these Terms grants you any right, title, or interest in the platform itself.

6.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, irrevocable, perpetual license to use and incorporate that feedback into the Service without obligation to you.

7. Marketplace

If you publish agents on the Zefa Marketplace:

  • You represent that your agent does not infringe any third-party rights.

  • You agree to the marketplace fee structure (currently 30% of paid agent sales, excluding any applicable taxes, subject to change).

  • We reserve the right to remove any agent from the marketplace at our discretion.

  • Marketplace terms, including pricing and fees, may change during the alpha and beta periods.

  • Prices displayed on the Zefa Marketplace do not include applicable taxes. Any applicable taxes, duties, or governmental charges may be added at checkout and are the responsibility of the purchaser.

  • All prices on the Zefa Marketplace are listed in U.S. Dollars.

8. Privacy & Data

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy for information on how we collect, use, and protect your data.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any data you provide will be preserved.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEACON LABS GROUP SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us (if any) in the 12 months preceding the claim.

11. Termination

We may suspend or terminate your access to the Service at any time, for any reason, with or without prior notice. Upon termination:

  • Your right to use the Service ceases immediately.

  • We may delete your data, agents, and account information.

  • Provisions that by their nature should survive (IP, liability, disclaimers) will survive termination.

You may delete your account at any time through the Service settings.

12. Changes to These Terms

We may update these Terms at any time. We will notify you of material changes through the Service or via email. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. General

  • These Terms constitute the entire agreement between you and Beacon Labs Group regarding the Service.

  • If any provision is found unenforceable, the remaining provisions remain in effect.

  • Our failure to enforce any right does not constitute a waiver of that right.

  • These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions.
